International Money Express: Navigating a Merger and Operational Challenges

International Money Express, Inc. (IMXI) is a remittance services company primarily operating in the U.S.–Latin America corridor. As of October 27, 2026, the company is in the midst of a significant transition, with a pending acquisition by Western Union for $16 per share. This merger, approved by stockholders in December 2025, is still awaiting regulatory clearance, particularly from California, and faces a new 30-day waiting period due to an expired HSR filing. The company reported a challenging financial year with declining revenues and earnings, compounded by operational pressures and regulatory hurdles.

Business Model and Revenue Streams

IMXI generates revenue through transaction fees and foreign exchange gains from remittances. The company facilitates money transfers primarily from the U.S. to Latin America and the Caribbean. It charges fees for wire transfers and money orders, which accounted for $207.3 million in the first half of 2026, down 18.1% from the previous year. The company also earns from foreign exchange gains, which fell 24.8% to $33 million. Despite a decline in traditional transaction volumes, IMXI has seen growth in its digital Remittance-as-a-Service (RaaS) platform, which increased transactions by 172% and principal sent by 159%.

Key Business Dynamics

IMXI faces intense competition from both traditional and digital remittance providers. The company’s reliance on the U.S.–Latin America corridor makes it vulnerable to economic and geopolitical changes in these regions. Additionally, the company’s agent network contracted by 5.5%, reflecting broader market challenges. The pending merger with Western Union is a strategic move to bolster its market position, but regulatory delays have introduced uncertainty.

Financial Profile

For the first half of 2026, IMXI reported revenue of $253.1 million, a 17.1% decline year-over-year. Net income plummeted by 75% to $4.7 million, while operating income fell 63% to $12.4 million. The company’s operating expenses decreased by 11.5% but still represented 95% of revenue, up from 89% the previous year. IMXI’s cash position was $150.6 million as of June 30, 2026, with revolving borrowings of $113.8 million, down from $194.8 million at the end of 2025. The company remains compliant with its debt covenants, maintaining a minimum interest coverage of 3.00:1.00 and a maximum leverage ratio of 3.50:1.00.

The Merger and Its Implications

The Western Union merger, valued at $16 per share, represents a 72.4% premium over IMXI’s pre-announcement share price. However, the deal's completion is contingent on regulatory approvals, which have been delayed. The merger agreement allows for termination if not completed by November 10, 2026, with potential termination fees of $27.3 million payable by Western Union or $19.8 million by IMXI under specified conditions.

Management and Capital Allocation

IMXI’s management is navigating a complex landscape of declining earnings and strategic transformation. The company has suspended its share repurchase program during the merger process, with $48.3 million remaining under authorization. Executive compensation and retention bonuses are tied to the merger’s completion, with significant payouts contingent on the deal closing.

Valuation

The valuation of IMXI hinges on the merger’s completion. The $16 per share offer provides a clear exit for shareholders, but the company’s standalone outlook is less optimistic. Using a discounted cash flow (DCF) analysis and comparable company multiples, the implied valuation ranges from $13.40 to $18.60 per share. The merger price falls within this range, reflecting both the strategic premium and the operational risks.

| Scenario | Method | Enterprise Value (EV) | Per Share |
|----------|--------|-----------------------|-----------|
| Bear | DCF | $400M | $13.40 |
| Base | DCF | $500M | $16.00 |
| Bull | Comparables | $580M | $18.60 |
