ADC Therapeutics SA [[ADCT]] — Proposed Swiss-to-Delaware redomiciliation; no cash consideration disclosed
Filing Summary ADC Therapeutics SA’s November 3, 2026 S-4 proposes continuing as a Delaware corporation, ADC Therapeutics, Inc., with each existing common share converting one-for-one and no change in share count from the conversion itself. This is a legal and governance restructuring—not a financing—and remains subject to shareholder approval and significant tax, regulatory, and other closing conditions.
Terms & Mechanics - Each CHF 0.08 Swiss common share would convert automatically into one $0.10 Delaware common share; other securities and equity awards would continue on substantially the same terms. No cash proceeds or transaction consideration are disclosed. - The proposed charter authorizes 394 million common shares and 3 million preferred shares. The authorized amount is not the post-transaction share count; the filing does not disclose a planned issuance. The board could set preferred-stock terms without a stockholder vote, creating future financing flexibility as well as potential dilution or changes to common-stock rights. - Shareholders are also asked to approve Delaware governing documents and a discharge of directors and executive committee members for the period from January 1, 2026 through the meeting date. The redomiciliation and governing-document proposals each require two-thirds of votes represented and a majority of par value represented; the discharge proposal requires a majority of votes represented. The meeting and record dates are not disclosed in filing materials. - The proposed Delaware framework includes a classified board, limits on stockholder written consent and access to special meetings, and a 66⅔% threshold for specified stockholder amendments. The board would also have authority to amend the bylaws. There are no appraisal rights. - Closing requires, among other things, subsidiary restructuring, Swiss tax and Lex Koller rulings, creditor protections, SEC effectiveness, and NYSE listing approval. The approvals lapse if the company has not become a Delaware corporation by June 30, 2027. - No prior S-4 for this transaction is identified in the supplied context, so there is no prior S-4 amendment delta to quantify. The supplied context’s other filings do not provide terms that establish a transaction baseline.
Strategic & Capital Implications Management argues that a Delaware domicile could reduce duplicative compliance, better align the legal structure with the company’s U.S.-centered operations, and provide more flexibility for share issuance and strategic transactions. Those benefits are not quantified: the filing provides no savings estimate, transaction-cost estimate, or cash proceeds. The one-for-one conversion itself does not dilute holders, but the authorized capital and board’s preferred-stock authority leave room for future issuance.
The principal investor trade-off is changed governance alongside cross-border tax and execution risk. Swiss tax treatment regards the move as a liquidation; a 35% withholding tax could apply to the relevant taxable amount, with an approximately 53.8% effective rate if the company pays it and does not recover it from shareholders. The company considers the tax unlikely based on its approximately $200 million market capitalization as of November 2, 2026, and CHF 969.9 million of confirmed capital-contribution reserves as of December 31, 2025, but the test is at closing and Swiss rulings remain a condition. U.S. tax treatment is also uncertain: the company intends F-reorganization treatment but has no IRS ruling, and Section 367 and PFIC rules could affect some holders. The redomiciliation does not itself address the filing’s cited operating losses, need for additional capital, debt and restrictive covenants, or reduced cash generation from ZYNLONTA-related arrangements.
